PREAMBLE

This Association shall not interfere in any way between its members and their employers, recognizing the identity of interests between employer and employee, and not countenancing any project of enterprise that will interfere with perfect harmony between them. Its meetings shall not be used for political or religious discussions. “Preference shall be given at all times to education on engineering, in all of its various branches. Its members pledge themselves to the securing and enforcing of engineers’ license laws in order to prevent the destruction of life and property in the generation and transmission of power,” and for the conservation of the fuel resources of the Nation.

BY-LAWS of NEW YORK CHAPTER No. 1 NATIONAL ASSOCIATION of POWER ENGINEERS

ARTICLE 1: Name

Section 1.

This Chapter shall be known as New York Chapter No. 1 – National Association of Power Engineers, by virtue of a charter having been duly granted to Brotherhood No. 1, National Association of Stationary Engineers on the 25th day of October, 1882, by virtue of authority granted it be the National Association of Stationary Engineers.

Section 2.

The name of this Chapter was originally Brotherhood No. 1, National Association of Stationary Engineers; upon the consolidation of Subordinate Association was duly changed on February 21, 1925 to Empire City, No. 1, National Association of Stationary Engineers.

Section 3.

Thereafter on further consolidation of Subordinate Association No. 1, 8, 25, 27, and 47, the name of this Association was duly changed on May 12, 1931 from Empire City, No. 1, National Association of Power Engineers to Greater New York Association of Power Engineers, No. 1 of the State of New York, and was changed to NEW YORK CHAPTER NO. 1 OF THE NATIONAL ASSOCIATION OF POWER ENGINEERS, its present name, on April 25th, 1947, to conform to the National Constitution.


Section 4.

For the purpose of establishing period of membership, in addition to the Association listed above, anyone who was a member in good standing of No. 29 Association at the time of its affiliation with No. 25 or any member of No. 24 Association who was affiliated with Empire City No. 1 prior to February, 1926 shall be deemed to have been a member of No. 1 from the date of their original initiation into either No. 24 or No. 29 Association.

ARTICLE II: Objects

Section 1.

The objects of this Chapter shall be:

  • a.) To aid the National Association in carrying out its tenets as set forth in it’s preamble, and constitution.
  • b.) To educate, and elevate the members in the science of Engineering, with a view towards raising the ideals of the profession to a point of preeminence.
  • c.) To aid all worth members during periods of sickness, and distress.


ARTICLE III: Membership and Dues

Section 1.

Any person of good character and reputation directly connected with the engineering profession, may be admitted to Associate Membership in this chapter by making application therefore in writing on regular application blanks. Said application shall be subject to the same rules as application for Active Membership, and the proceedings shall be the same, except that the applicant for Associate Membership shall not be required to pass an examination.

Section 2.

Associate members shall be bound by all the rules, and regulations governing Active members of this chapter.

Section 3.

The total number of Associate members at any time shall not exceed twenty percent of the total chapter membership.

Section 4.

The initiation fee for membership in the chapter shall be eighty-five ($85) dollars for Active members, and two hundred fifty ($250) dollars for Associate members, payable not later than the night of initiation.

Section 5.

The affiliation, or reinstatement fee shall be the amount set by the National Association of National member reinstatement.

Section 6.

Every Active, and Associate member shall pay into the funds of the National Association of Power Engineers, annual dues payable in advance. This amount shall be paid according to the billing invoice received from the National Office, as established by the Nation Constitution. The New York Chapter 1 portion of the annual dues may be changed from time to time as may be required to meet expenses. That portion of the annual dues will be recommended by the chapter Finance Committee, and ratified by a majority of the chapter members present, and voting at a summons meeting called for that purpose prior to October 31, for the ensuing year(s). In the event that the National Constitution is changed mandating dues collection be done by the chapters, then the dues amount shall be paid to the Finical Secretary of the chapter. If elected to Active or Associate membership after January 1, the new member will pay a sum equal to (10%) ten percent of the established annual dues times the months remaining in the calendar year, or portion thereof, payable in advance, commencing with the date of his, or her admission to membership and then, the amount set by the chapter, thereafter.

Section 7.

The annual dues collected for Associate memberships will be frozen at $250.00. This By-Law will become effective January 1, 1999.

Section 8.

Members may be dropped from this chapter for just cause. However, they shall have the right to appeal to the Board of Directors of the National Association through the office of the National Secretary.

ARTICLE IV: Meetings

Section 1.

The regular meetings of this chapter shall be held on the first and third Tuesday of each month; except that by majority vote of the members present, regular meetings may be dispensed with for (1) summer vacation, (2) holiday eves, (3) meetings night changes, (4) or for good reasons; at a time and place fixed by the officers hereof.

ARTICLE V: Officers

Section 1.

The elective officers of this Chapter shall be those specified in the Chapter Constitution. There shall also be an elected advisory council to consist of five members who shall serve for a term of one year concurrently with the elective officers provided for by this section. Any elected officer who shall be absent himself from the regular meeting of this Chapter for a period exceeding two months shall have his office declared vacant. A vacancy in any office of this Chapter, except that of President, due to death, illness, resignation, or any other cause shall be filled by a member recommended by a Committee composed of three (3) trustees and five (5) members of the Advisors Council. The senior Trustee shall serve as Chairman. Their selection shall be subject to ratification by the members at the next regular meeting which shall be a summons meeting, except that the Vice President shall succeed to the Presidency.

Section 2.

The Trustees shall be the Custodians of the Chapter’s properties and shall receive a report of all moneys in excess of one thousand ($1,000.00) dollars in the possession of the Treasurer and placed on deposit by him in a Savings Bank selected and designated by the Trustees. The Treasurer is to maintain funds of the Chapter in such depository as shall have been designated by the Trustees in the name of the Chapter No. funds shall be withdrawn from such Chapter bank account except upon the order of the Chapter signed by its duly accredited Treasurer and countersigned by a majority of the Trustees under the seal of the Chapter. The Treasurer is also to maintain an account in the name of the Chapter. Moneys from said account shall be paid out by the Treasurer pursuant to vouchers signed by the President and Secretary of the Chapter and presented to him for payment, provided said vouchers shall indicate that the money for which the voucher is presented is to be used to pay one of the usual and fixed Chapter expenses or charges. The Treasurer is also authorized to recognize and pay out moneys against vouchers signed by the President and Secretary to cover items of expense or charges other than usual and fixed Chapter expenses as provided for in these By-Laws. Vouchers for expenses other than the usual and ordinary expenses or charges of the Chapter, shall only be paid out by the Treasurer pursuant to a voucher signed by the President and Secretary of the Chapter pursuant to authority granted a at meeting of the Chapter, summoned for that purpose.

Section 3.

The Finanical Secretary is to turn over to the Treasurer all Chapters moneys in his possession, obtaining simultaneously from the Treasurer a receipt therefore. The Treasurer is then to deposit all sums in a Savings Bank or banks designated by the Chapter and report such deposits to the Trustees; he shall also disburse the current expenses of the Chapter upon receipt of properly signed vouchers and together with other officers, shall keep his book available for inspection by the Finance Committee and/or the duly appointed and authorized accountant for this Chapter at each quarterly meeting, copies of which shall be filled with the Trustees.

Section 4.

The Financial Secretary shall receive and record all moneys for dues and any amounts of money entrusted to him by members in excess of all indebtedness owing to the Chapter and record payments of such amounts to the credit of said members. The only proof of payment of moneys by members to the Financial Secretary shall be his receipt or receipts issued therefore or other competent evidence indicating such payment, in addition to the entry on his books, which shall be properly maintained for audit by the Finance Committee, and/or the duly authorized quarterly report of the account.

Section 5.

The Financial Secretary shall in accordance with the Chapter Constitution, notify all members who are in arrears in the payment of dues as well as notify them when current dues become payable.

ARTICLE VI: Delegates

Section 1.

The total expenses allowed for all delegates to attend a National Convention shall not exceed the sum of thirteen thousand dollars ($13,000), and are not to exceed more than one thousand dollars ($1000) per voting delegate, the amount given to each delegate will be decided by the officers, and trustees of Chapter 1, and announced by the second meetings of January for that convention year. Delegates must present expense receipts for re-imbursement.

Section 2.

The total expenses allowed for all delegates to attend a State Convention shall not exceed the sum of six thousand five hundred dollars ($500) per delegate. The maximum amount given to each voting delegate will be decided by the officers, and trustees of the Chapter, and announced by the second meeting of January for that convention year. Delegates must present receipts for re-imbursement.

Section 3.

Whereas delegates to both National and State Conventions are representatives of the Officers and General Membership of Chapter #1 they are eligible for reimbursement, delegates must attend as minimum of six (6) of the regularly scheduled membership meetings according to the Chapter schedule for each year. The Delegates attendance will be tracked by a sign sheet, which will be available at the end of each meeting. The Conductor of the Chapter will be responsible for providing and maintaining the attendance sheet. The attendance record will be reviewed upon request for reimbursement along with the necessary receipts required in Section 1 & 2.

ARTICLE VII: Care of Funds

Section 1.

Sums to be used for the purposes other than the usual expenses incurred in connection with the running of this chapter as provided for in these By-Laws must be authorized at a summons meeting called for the purpose, by an affirmative vote of two-thirds of the members present at said meeting.

Section 2.

No part of funds of this chapter shall be loaned, donated, appropriated, or diverted to or by any person or persons, except as provided for in these By-Laws; nor shall any part of the funds of this chapter be used for the purposes other than the legitimate expenses of this chapter, except funds derived by the Entertainment Committee through it’s activities which may be expended at the discretion of the chapter for social, and educational purposes of it’s membership.

Section 3.

The trustees of the chapter shall, when so instructed by majority vote of the membership at a summons meeting, be empowered to purchase for and in the name of the chapter, US Bonds, and Securities in the amount, and denominations voted upon. All bonds shall be deposited in such banks as designated by the Trustees.

ARTICLE VIII: Committees

Section 1.

The President shall at the first meeting after his installation, appoint an Education Committee or Instructor to promote and direct the educational work of the Chapter and in conjunction with, and with the approval of the President, arrange for lectures and discussions upon the various branches and phases of engineering in which the members of the Chapter may be interested. The Committee may be authorized to expend for such educational purposes and activities, a sum not in excess of Five Thousand ($5000.00) dollars per year.

Section 2.

The President shall at the first meeting after his installation appoint a chairman of the Entertainment Committee.

Section 3.

The President shall appoint a Budget Committee. It shall be the duty of the Budget Committee to prepare and present a budget not later than the first meeting in May. Said budget to cover the Fiscal year beginning July 1st next and shall be voted on and approved at the first meeting in June. All regular bills of the Chapter, as provided for in the approved for in these By-Laws, without further action of the Chapter Membership. Any other expenses, not provided for in the budget, shall only be incurred pursuant to Article 7, Section 1 of these By-Laws, without further action of the chapter membership. Any other expense, not provided for in the budget, shall only be incurred pursuant to article 7, Section 1 of these BY-Laws.

Section 4.

The President shall appoint at a regular meeting before November 1st, the “Dr. Grimshaw Award Committee,” consisting of nine members, at least five of whom shall be chosen from the Advisory Committee, Trustees, and Past Presidents. This Committee shall recommend to the Chapter for their consideration at a regular meeting in January, a member of this Chapter who has been such as to advance the profession of engineering in general. If in their opinion, there is no one who meets these requirements, they shall then recommend to the chapter that the awarding of the Grimshaw Medal shall be omitted for that year. In celebration of Engineers’ Week, the Grimshaw Medal shall be presented to the recipient at the regular meeting of the Chapter held on the third Tuesday in February.

Section 5.

The president shall appoint at a regular meeting before the first of February the “John Marchese Award Committee,” consisting of nine members, at least five of whom shall be chosen from the Advisory Committee, Trustees, and Past President. The committee shall recommend to the chapter for their consideration at a regular meeting in April, a member of this chapter who has made outstanding contributions to the chapter. If in their opinion, there is no one who meets these requirements, they shall then recommend to the chapter that the awarding of the “John Marchese Service Award,” shall be omitted for the year. The “John Marchese Service Award,” shall be presented on Past President’s night the first Tuesday in May.

Section 6.

The President shall at the first meeting held during the months of January, April, July and October, appoint a Sick or Visiting Committee to consist of five member chosen from the several sections of Greater New York and one of the elected officers in rotations who shall act as Chairman. The members of said Committee shall serve for a period of three months from the date of their appointment thereon or until their successors are appointed. Any member of the Sick Committee, upon being notified of a member’s illness or distress, shall as quickly as practicable, visit said member and report in writing to the Chairman or the President directly, of his visit and the condition or said sick or distressed member. The Committee which has undertaken the visiting of a sick or distressed member, shall continue to function until the termination of his sickness or distress.

Section 7.

All members are requested to attend the funeral services of a deceased member and the three principal officers shall endeavor to have a delegation of members present as a mark of respect to the deceased.

ARTICLE IX: Life and Honorary Members

Section 1.

Any member who shall have been an Active or Associate Member of this Chapter for a period of 35 years as provided in Article 1, Section 1, 2, 3, and 4 shall be granted Life Membership in this Chapter.

Section 2.

Any members who in the opinion of the Chapter has performed a meritorious or outstanding service to the Chapter, may be eligible for and be nominated to life membership in this Chapter.

Section 3.

Any person or persons in public life who shall have performed some outstanding deed or service to the country at large, or shall have been instrumental in furthering the interests of the profession or science of engineering and shall be found worthy of award recognition by this Chapter, may be nominated by it for honorary membership herein.

Section 4.

All resoulations for life and honorary membership, execpt life membership after 35 years service, must be read before three regular meetings of the chapter, and approved by a two thirds vote of the members present at the final reading. Life members are to continue to enjoy all the rights and privileges of regular members.

Section 5.

Any member granted Life Membership in this Chapter on or after January 1, 2006 shall be respponsible for the National portion of their annual dues.(new)

ARTICLE X: Administration

Section 1.

This Chapter shall be governed by and in accordance with the Chapter Constitution of the National Association and the By-Laws of this Chapter.

Section 2.

No By-Law shall be suspended, repealed or amended except by resolution submitted in writing to the Chapter, accepted by a majority vote, laid on the table until the second meeting, read again at the second meeting, and at the third meeting, adopted by a two-thirds vote of the members present. Summons notification to members of such meeting shall proceed such action.

Section 3.

Any and all questions arising with respect to the law of procedure not specifically provided for by these By-Laws, shall be interpreted and decided in accordance with the most simple interpretation of the Chapter Constitution or Robert’s Rule of Order Revised.

Section 4.

All resolutions or By-Laws on the records of this Chapter, that are contrary to these By-Laws, are hereby expressly rescinded and declared void.
